1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of VLStudio Desktop, VLStudio Web at vlstudio.live, and any related services (together, the "Service"), operated by Vladyslav Zhminko, trading as VLStudio ("VLStudio", "we", "us", "our"), Carrer de Valencia 191, 6.1, 08011, Barcelona, Spain.

By creating an account, downloading the application, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Age requirements for using the Service are set out in our Minimum-Age & Children's Policy, which this section incorporates by reference.

2. The Service

VLStudio provides:

• Desktop application, a video editor for cutting, coloring, keying, tracking, captioning, and exporting footage, with an optional paid AI editing assistant
• Web portal, account management, project collaboration, a social-analytics dashboard, community, marketplace, and jobs board
• Community, posts, comments, and discussion for creators
• Marketplace, listings for digital creative assets, see the disclosures in Section 8
• Jobs Board, postings for and applications to video-production work
• Tokens & Rewards, Creator Points (XP), Power Tokens, and achievements, governed by our Virtual Currency & Tokens Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where possible.

3. Accounts & Eligibility

You may register with an email address and password, or via Google OAuth. You agree to:

• Provide accurate and complete registration information
• Keep your password secure and confidential
• Notify us promptly of any unauthorized use of your account
• Maintain one account per person
• Not share your account credentials with others

You are responsible for activity that occurs under your account. Eligibility and age-verification requirements are in our Minimum-Age & Children's Policy.

4. Subscription, Tokens & Experimental Features

VLS-PRO is a paid, auto-renewing monthly subscription that unlocks the AI features. It is not free, and it is not a beta feature: full pricing, trial, billing, and cancellation terms are in our Subscription & Billing Terms, which this section incorporates by reference.

Power Tokens are a real-money virtual currency; their terms are in our Virtual Currency & Tokens Terms.

Outside of the features named in that disclaimer, the Service is a live paid product, not an open beta, and this section replaces any earlier "free of charge, open beta" framing.

5. License to Use the Application

Subject to these Terms and, for the desktop application, our End User License Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Install and run the VLStudio desktop application on devices you own or control
• Access and use the web portal for your personal or internal business purposes

You may not reverse engineer, decompile, or disassemble the application; remove or alter copyright, trademark, or proprietary notices; redistribute or resell the application or access to the Service; or use the Service to build a competing product. All intellectual property rights in the Service, including the application, web portal, branding, and documentation, remain with VLStudio, except for open-source components and third-party assets listed in the desktop app's Open-Source Notices.

6. Your Content & Intellectual Property

6.1 Your Footage

Video, audio, images, and project files you edit in VLStudio Desktop are processed locally by default and remain yours. Some optional features send data off your device, including AI chat, AI Visuals, some caption paths, and the Review/collaboration feature; the specifics of what each sends are disclosed in our Privacy Policy, Section 4 and, for AI features, our AI Features Terms. Using one of those features is your election to send that data; ordinary local editing and export is not affected.

6.2 Content You Post or List

For content you publish on the platform (community posts, marketplace listings, job postings, reviews), you retain ownership. You grant VLStudio a worldwide, royalty-free, non-exclusive, sublicensable license to host, reproduce, display, transmit, and, where the feature requires it (for example a marketplace purchase), distribute that content to other users, buyers, and the infrastructure providers we use to run the Service. For marketplace listings specifically, this license extends to the buyer to the extent needed for them to use what they purchased, and survives removal of the listing solely to the extent needed to honor licenses already sold before removal. You represent that you have all necessary rights to post or list content you submit, and that it does not infringe any third-party intellectual property rights.

6.3 Feedback

If you submit feedback, bug reports, or feature suggestions, you grant us an unrestricted license to use that feedback without compensation or attribution.

7. Community Standards

Participation in the VLStudio community is governed by our Community Guidelines and our Acceptable Use Policy, both incorporated into these Terms by reference. We may remove content that violates these standards and may warn, restrict, or suspend accounts responsible for violations, as described in the Community Guidelines.

8. Marketplace & Jobs Board

Buying or selling on the VLStudio Marketplace is governed by our Marketplace Terms of Use (buyers) and Seller Agreement (sellers), which include an important disclosure that marketplace checkout is currently simulated and does not process real payment or deliver files. Refund and withdrawal rights across all money flows are in our Refund, Cancellation & Withdrawal Policy.

The Jobs Board connects creators with video-production opportunities. VLStudio is not a party to any agreement formed between a job poster and an applicant and accepts no liability for disputes between them. Job postings must describe genuine opportunities related to video production, editing, motion graphics, or adjacent creative fields, and must not be discriminatory, misleading, or unlawful.

9. Prohibited Conduct

In addition to the restrictions in our Acceptable Use Policy, you agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service or another user's account
• Interfere with or disrupt the integrity or performance of the Service
• Use automated tools to access the Service without our written permission
• Circumvent rate limits, access controls, or security measures
• Send spam, phishing messages, or malware through the Service
• Artificially inflate token balances, XP, or review scores
• Impersonate VLStudio staff or use a moderator or admin role without authorization

10. Termination

You may close your account at any time from Settings > Data & Privacy > Delete Account. See our Privacy Policy, Section 15 for what account deletion does and does not remove today.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent or unlawful activity, or pose a security risk to the Service or other users.

Upon termination, your license to use the application ends. Sections 6, 11, 12, 13, and 14 survive termination.

11. Disclaimer of Warranties

Nothing in this section excludes or limits any statutory right, guarantee, or protection that applies to you as a consumer under the mandatory law of your country of residence and cannot be excluded by agreement.

12. Limitation of Liability

To the maximum extent permitted by applicable law, VLStudio is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities arising from your use of the Service.

Our total aggregate liability to you for any claim arising out of these Terms or the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) EUR [[LIABILITY_CAP_EUR]].

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless VLStudio from claims, liabilities, damages, losses, and reasonable legal fees arising from your use of the Service in violation of these Terms, content you post or list, or your violation of a third party's rights. This does not apply to the extent a claim arises from VLStudio's own breach of these Terms or violation of applicable law.

14. Survival, Severability & Assignment

Sections that by their nature should survive termination (including intellectual property, disclaimers, liability, indemnification, and governing law) survive. If any provision of these Terms is found unenforceable, the remaining provisions stay in effect and the unenforceable provision is replaced with one that most closely achieves its intent. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets, and will notify registered users if that happens.

15. Force Majeure

We are not liable for delay or failure to perform caused by events beyond our reasonable control, including outages of third-party infrastructure or AI providers we depend on, internet or utility failures, or acts of government.

16. Changes to These Terms

We may update these Terms from time to time. When we make a material change, we update the "Last updated" date above and notify registered users at least 14 days before the change takes effect, as described in our Terms Versioning Policy. Continued use of the Service after the effective date is acceptance of the updated Terms; if you do not agree, stop using the Service and close your account.

17. Governing Law & Disputes

These Terms are governed by the laws of Spain, without regard to its conflict-of-laws rules.

If you are a consumer habitually resident in the European Union or the United Kingdom, this choice of law does not deprive you of the protection of the mandatory consumer-protection law of your own country of residence, and you may bring proceedings before the courts of your own country of residence as well as the courts of Barcelona, Spain. Nothing in these Terms requires you to submit a dispute to arbitration.

For users who are not consumers, or who are not habitually resident in the EU or UK, the courts of Barcelona, Spain have exclusive jurisdiction over any dispute arising from these Terms.
