1. VLStudio's Role
The VLStudio Marketplace is a venue where independent sellers list digital creative assets (presets, templates, plugins, and similar files) for other users to buy. VLStudio, operated by Vladyslav Zhminko, trading as VLStudio, Carrer de Valencia 191, 6.1, 08011, Barcelona, Spain, is the platform that hosts these listings. VLStudio is not the seller of any third-party listing, does not inspect or endorse listed products beyond what is described in our Seller Agreement, and is not a party to the sale contract that forms between a buyer and a seller.
VLStudio acts as merchant of record only for its own VAT purposes on its own charges (VLS-PRO subscription and Power Tokens, see our Tax & Invoicing Terms). VLStudio is not the merchant of record for marketplace listings, which remain the seller's own transaction and the seller's own tax responsibility under our Seller Agreement.
2. Checkout Is Currently Simulated
This disclosure is also made in our Privacy Policy, Section 8 and our Refund, Cancellation & Withdrawal Policy, Section 4, and is stated identically in each place.
3. Pricing & Currency
Sellers set a listed price and currency for each product. Today, our checkout system hard-codes the payment currency to USD regardless of the currency a product is actually listed in, which means a listing shown to you in EUR may be charged, if checkout were real, in USD without conversion applied. This is a known mismatch we are correcting. Do not rely on the price shown at checkout matching the product's listed currency until this is fixed. Tax on marketplace orders is currently hard-coded to zero; see our Tax & Invoicing Terms.
4. The BETA2026 Coupon
The code BETA2026 applies a 20% discount to the order total at checkout where accepted. Because checkout is simulated as described in Section 2, applying this coupon today changes the number shown on an order that is never actually charged. The coupon carries no cash value and cannot be redeemed outside the Marketplace checkout flow. We may modify or withdraw this coupon at any time.
5. Delivery
No product file is delivered on completion of a Marketplace order today; the download location for a purchased product is never populated by our system. See our Buyer Asset License for what you are entitled to once delivery is functional, and do not treat an order confirmation as proof that a file is available to you.
6. Buyer-Seller Disputes
A dispute about a listing (quality, description accuracy, licensing scope, or non-delivery) is between you and the seller. To raise a dispute, contact the seller through the listing first; if that does not resolve it, contact us at the address in Section 10 and we will review the listing and account activity involved. VLStudio is not liable for the underlying transaction between you and a seller, for the seller's product quality, or for a seller's failure to perform, except to the extent VLStudio's own conduct as platform operator caused the harm. This is without prejudice to your statutory consumer rights, which cannot be excluded by these Terms.
7. Reviews
Marketplace reviews are public today and are tied to the real identity of the reviewer's account; a review is not currently limited to buyers who completed a verified purchase of the reviewed product. The EU Omnibus Directive (amending the Unfair Commercial Practices Directive) requires traders who provide access to consumer reviews to disclose whether and how they ensure published reviews come from consumers who actually used or purchased the product. This section is that disclosure: today, we do not gate reviews to verified purchases, and you should read any review with that in mind. We are evaluating whether to add verified-purchase gating once real checkout exists.
8. Refunds & Withdrawal
Refund, cancellation, and EU/UK withdrawal-right terms for Marketplace orders are set out in our Refund, Cancellation & Withdrawal Policy, which this section incorporates by reference. Because no real charge is currently taken on a Marketplace order as described in Section 2, the refund confirmation you may see today does not correspond to an actual returned payment.
9. What You Receive
The license you receive for a purchased digital asset, including use scope, commercial versus personal rights, and redistribution limits, is set out in our Buyer Asset License, which applies to every Marketplace purchase and which you should read together with Section 2 of these Terms so the two documents are read consistently: neither promises that a file is available to you today.
10. Governing Law & Contact
These Marketplace Terms of Use are part of, and governed by the same law and venue as, our Terms of Service, Section 17 (Spain, with EU/UK consumer carve-outs, courts of Barcelona, no mandatory arbitration for consumers).
